PROMOTION AND PRIZE DESCRIPTION: Pursuant to the Very Short List Sweepstakes (the “Promotion”), one (1) eligible registered subscriber of Very Short List as of 11:59 p.m. Eastern Standard Time (“ET”) on Friday, January 26, 2007 will win one (1) boxed DVD set entitled “Everyman’s Library 100 Essentials Set,” with an estimated retail price of U.S. $2,187.95 (the “Prize”).

SPONSOR: Very Short List, which is operated by The Box Media, LLC, 560 Broadway, Suite 304, New York, NY 10012.

START AND END DATE OF PROMOTION: The Promotion begins at 12:01 a.m. ET on Friday, December 15, 2006, and ends at 11:59 p.m. ET on Friday, January 26, 2007 (the “Entry Period”).

ELIGIBILITY: No purchase is necessary to enter or win the Promotion. The Promotion is only open to legal residents of the United States who are (18) years of age or older at the time of entry and who, as of 11:59 p.m. ET on Friday, January 26, 2007, are registered subscribers of Very Short List. The Promotion is void in states and/or jurisdictions where prohibited or otherwise restricted by law. The Promotion is not open to employees of Very Short List (the “Sponsor”), The Box Media, LLC and Knopf, and their respective parents, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies and each of their respective officers, directors and employees, or any persons or entities directly associated with this promotion (collectively, the “Promotion Entities”) and members of the immediate families and/or persons living in the same household as such persons, and accordingly none of these persons is eligible to win the Prize.

ENTRY: You will automatically receive one entry into the Promotion if you are a registered subscriber of Very Short List at the start of the Entry Period and remain a registered subscriber of Very Short List as of 11:59 p.m. ET on Friday, January 26, 2007. If you are not already a registered subscriber of Very Short List, you will automatically receive one entry into the Promotion by subscribing to Very Short List. You must become and remain a registered subscriber of Very Short List by 11:59 p.m. ET on Friday, January 26, 2007 in order to be eligible for the random drawing.

DRAWING & WINNER SELECTION: One (1) winner will be selected in a random drawing conducted by the Very Short List from its database of all eligible registered subscribers as of 11:59 p.m. ET on Friday, January 26, 2007. This selection will be made within three (3) business days following the end of the Entry Period. Decisions of Sponsor are final and binding in all respects. The winner will be notified by e-mail within five (5) business days following the end of the Entry Period. Odds of winning depend upon the total number of eligible entries received.

PRIVACY: Except as otherwise stated in these Official Rules, personal information collected in connection with the Promotion will be used in accordance with the Sponsor’s PRIVACY POLICY.

GENERAL PRIZE AND PROMOTION CONDITIONS: The winner of the Prize shall be solely responsible for all federal, state and/or local taxes, and the reporting consequences thereof, and for any other fees or costs associated with the Prize. The Prize shall be nonassignable and nontransferable. No cash alternative or substitutions for the Prize will be allowed, except that Very Short List reserves the right to substitute prize(s) of comparable value if the Prize is unavailable for any reason. The winner of the Prize may be required to execute and return an Affidavit of Eligibility and Liability/Publicity Release or other documentation relating to the Prize (collectively, “Prize Claim Documents”). If a selected winner fails or refuses to sign and return any and all Prize Claim Documents within three (3) business days of attempted notification, the winner may be disqualified and another winner will be selected in accordance with the procedures set forth under the caption “Drawing & Winner Selection” above.

INDEMNIFICATION: Each registered subscriber of Very Short List hereby agrees to indemnify and hold the Promotion Entities harmless from and against any and all third party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of the Official Rules, or TERMS & CONDITIONS of use of Sponsor’s Web site.

GENERAL LIABILITY RELEASE/FORCE MAJEURE: The Promotion Entities (A) shall not be responsible or liable for any losses, damages or injuries of any kind resulting from the Promotion or any related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of the Prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to the Prize, including, without limitation, to the Prize’s quality or fitness for a particular purpose. Sponsor assumes no responsibility for any damage to an entrant’s computer system which is occasioned by accessing the Web site or participating in the Promotion, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Sponsor is not responsible for incomplete, illegible, misdirected, late, lost, damaged or stolen Prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, Web sites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Promotion or the Web site, to be acting in violation of these Official Rules, or to be acting in an unsportsman-like or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Promotion, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. In the event Sponsor is prevented from awarding the Prize or continuing with the Promotion as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis (e.g. SARS), order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then Sponsor shall have the right to modify, suspend, or terminate the Promotion. If the Promotion is terminated before the designated end date, Sponsor will (if possible) select the winner from all eligible, non-suspect registered subscribers in its database of registered subscribers as of the date of the event giving rise to the termination.
